¿Qué es la cesión de créditos?
Es natural y jurídicamente concebible que el titular de un crédito personal pueda disponer de él. La transferencia es poner a otra persona en cabeza del derecho, bien a título gratuito u oneroso; se trata de un bien patrimonial enajenable como cualquier otro.
Los derechos de créditos son aquellos que se reclaman de determinada persona, dice el artículo 666 del Código Civil. Los créditos son obligaciones de contenido crediticio que surgen de los contratos, los cuasicontratos, la ley y el delito, (C.C. art. 1494; 2302; 2341).
Naturaleza de la cesión
La cesión constituye un negocio jurídico por virtud del cual se consiente en la transferencia del derecho de crédito. Las partes del negocio son, de un lado el cedente, titular del derecho y, de otro, el cesionario, quien adquiere la titularidad.
Formalidades de la cesión
Las formas de cómo se hace la transferencia del crédito, se perfecciona atendiendo la naturaleza de la obligación.
Mediante documento privado o solemne
Los de créditos de obligaciones civiles deben hacerse en el mismo documento donde consta. Si no es así puede confeccionarse en documento separado (C.C. art. 1959, 1961). Los naturaleza mercantil la sustitución podrá hacerse por escrito o verbalmente, según que el contrato conste o no por escrito. Si consta en escritura pública, la cesión podrá hacerse por escrito privado, previa autenticación de la firma del cedente (C. de Co. art. 888).
Mediante endoso
Los crédito mercantiles que consten en un documento inscrito que, a pesar de no ser título-valor, esté otorgado o tenga la cláusula “a la orden” u otra equivalente, se puede transferir por endoso (C. de Co. art. 888).
La transferencia de títulos valore se regulan por las reglas especiales del derecho cartular. Dependiendo la naturaleza del título la transferencia varía. Se hace con el endoso, entrega material y jurídica y la emisión de un nuevo título, si son nominativos. Mediante endoso y entrega material y jurídica, sin son a la orden; o, con la sola entrega material y jurídica, si es al portador.
Lo anterior, porque las reglas relativas a la de los créditos civiles y mercantiles no se aplican a los títulos valores. Así se desprende del artículo 1966 del Código Civil, al decir que:
- “Las disposiciones de este título no se aplicarán a las letras de cambio, pagarés a la orden, acciones al portador, y otras especies de transmisión que se rigen por el Código de Comercio o por leyes especiales.”
Derechos que comprende la cesión
En los créditos civiles la cesión comprende sus fianzas, privilegios e hipotecas (C.C. art. 1964). Los contratos mercantiles implica, dice el artículo 895 del Ccódigo de Comercio, las acciones, privilegios y beneficios legales inherentes a la naturaleza del contrato.
En los títulos valores, el artículo 628 del Código de Comercio, también prevé que transferencia de un título implica no sólo la del derecho principal incorporado, sino también la de los derechos accesorios.
Perfección de la cesión
La cesión del crédito es perfecta con la entrega del respectivo título, según el artículo 1959 del Código Civil. Llevará anotado el traspaso del derecho con la designación del cesionario y bajo la firma del cedente (C.C. art. 1961). Mientras que para los créditos contenidos en contratos mercantiles, la cesión se perfecciona desde que se celebra (C. de Co. art. 894); lo que implica que hasta tanto se obtenga el título no es posible reclamar el crédito.
Los créditos contenidos en los títulos valores se transmiten, no solamente con el endoso, para los nominativos y a la orden, sino que requiere la entrega material y jurídica. Los títulos al portador con la entrega material y jurídica. Ésta entendida como la intención de negocios (C. de Co. art. 625).
Efectos de la cesión frente al deudor
Lo natural de la transferencia de un crédito es que el mismo sea satisfecho por el deudor al cesionario; razón por la cual es necesario enterarlo para que dicho propósito se cumpla. Además, porque el pago, al nuevo acreedor, es válido, si se hace a él o al autorizado para ello, exige el artículo 1634 del Código Civil.
Notificación o aviso de la cesión
Notificar la cesión o dar aviso es enterar al deudor que el crédito ha sido cedido. Que, en adelante, el pago deberá descargarlo a favor del nuevo acreedor. Hacer sabedor al deudor de la transferencia del crédito, no debe entenderse como una autorización para ceder. El poder sobre el crédito es del acreedor, razón por la cual, en la transferencia, no admite injerencia del deudor.
Si el crédito es civil, la cesión del crédito no produce efecto contra el deudor ni contra terceros, mientras no ha sido notificada por el cesionario al deudor o aceptada por éste (C.C. art. 1960). Esa misma regla se exige, para los créditos mercantiles, el artículo 892 del Código de Comercio.
Formas del notificar o dar el aviso
Tanto para el crédito contenido en obligaciones civiles o mercantiles, se notifica con la exhibición del original título, según el artículo 1961 del Código Civil. Como se trata de enterar al deudor del nuevo acreedor, a quien debe hacerle el pago, la notificación deber ser judicial.
Hay dos formas de hacer la notificación judicial. Como petición anticipada, mediante solicitud al juez, con fundamento en las reglas de los artículos 18 Num. 7 y 28 Num. 14 del Código General del Proceso. Dentro de curso del proceso ejecutivo, con la notificación de la orden de pago, de acuerdo con el inciso 2º del artículo 94 ibídem.
Notificación mediante aceptación
La aceptación de la cesión del crédito no entraña un asentimiento del deudor para que sea perfecta entre cedente y cesionario. Esta figura se halla prevista en los artículos 1962 del Código Civil y artículo 894 del Código de Comercio. Es una forma de darle efectos jurídicos al comportamiento del deudor frente al crédito y el cesionario.
La conducta del deudor, expresa o tácita, que conduzca a concebir que está enterado de la cesión del crédito, releva al cesionario de la notificación. La aceptación – dice el artículo 1962 del Código Civil- consiste en “… un hecho que la suponga, como la litis contestación con el cesionario, un principio de pago al cesionario, etc.”. El artículo 894 del Código de Comercio, dice que “los efectos de la cesión respecto del contratante cedido sólo produce efectos desde la notificación o aceptación”.
Cesión de créditos que no requiere notificación ni aceptación
Cuando se trata del importe de un título valor no es necesaria la notificación al deudor cambiario. Esto es consecuencia de la naturaleza especial como circulan esa clase de instrumentos.
Si el crédito mercantil se haya en un documento diferente al título valor y la cesión se hizo por endoso (C, de Co. art. 888 Inc. 3º), no es necesaria la notificación ni la aceptación del contratante cedido, por disposición del artículo 894, in fine, del Código de Comercio.
Responsabilidad del cedente frente al cesionario
En los créditos de obligaciones civiles, onerosos, el cedente es responsable de su existencia al tiempo de la cesión. No es garante de la solvencia del deudor, presente ni futura, salvo pacto en contrario. Así se desprende del artículo 1965 del Código Civil.
El artículo 890 del Código de Comercio, para los créditos mercantiles, el que cede “se obliga a responder de la existencia y validez del mismo y de sus garantías, pero, salvo estipulación expresa en contrario, no responderá de su cumplimiento por parte del otro contratante y de los garantes.”
De lo anterior se colige que existen dos clases de responsabilidades. Una de orden legal, donde el cedente responde por la solvencia del crédito, al momento de la cesión. Significa que la deuda está vigente porque no ha sido descargada por ninguno de los modos extintivos de las obligaciones (C.C. art. 625).
La segunda responsabilidad es la convencional, pactada en el negocio jurídico de cesión. El cedente puede obligarse a la solvencia del deudor con la convención de una cláusula penal o similar.
