La revisión de los contratos por razón de COVID 19

l principio de la autonomía de la voluntad da lugar al postulado de que los contratos son una ley para las partes. Regla de seriedad prevista en el artículo 1602 del Código Civil Colombiano, tanto para los contratos civiles como para los comerciales.
La seguridad jurídica nace del pacto, siempre que el mismo no contravenga reglas de orden púbico (C.C. art. 16). Sin embargo, pese la seriedad y probidad con la que se establecen las estipulaciones, la ejecución puede verse afectada por hechos extraños. Supuestos que impiden la atención de la obligación por alguna de las partes; es lo que se denomina desequilibrio contractual.
Desequilibrio contractual
Tiene lugar cuando en la ejecución del contrato surgen ciertos hechos que vienen a constituir un desequilibrio en la prestación de alguna de las partes. Hechos extracontractuales y que no pudieron ser previstos cuando el contrato se celebró. Con lo cual se rompe la simetría prestacional del negocio jurídico.
Factores del desequilibrio contractual
La atención a la disciplina normativa, en especial a la prevista en el contrato se altera por causas sobrevenidas, extraordinarias, imprevistas e imprevisibles, ajenas a las partes. Lo cual general una manifiesta, grave e injustificada desproporción o excesiva onerosidad.
La incertidumbre política, económica, financiera del mundo actual y, en especial, de algunas regiones, son algunas de las causas que dan lugar a la inestabilidad del contrato. Aunado a ello causas naturales, como un terremoto, una inundación o una pandemia como el COVID 19, por sus efectos abrasivos en la economía. Es lo que doctrinalmente se ha denominado la teoría de la imprevisión.
La teoría de la imprevisión
En hipótesis, como las señaladas, el ordenamiento jurídico prevé la revisión del contrato para corregir, restablecer o reajustar el desequilibrio. En algunos casos, es tan grave el desequilibrio que conduce a terminar el pacto. Evitando las consecuencias nocivas o estragos, el cumplimiento esas condiciones entraña al deudor con los desmesurados beneficios correlativos al acreedor.
El Código de Comercio Colombiano, la teoría de imprevisión se regula en el artículo 868. Norma que prevé la revisión del contrato cuando circunstancias extraordinarias, imprevistas o imprevisibles, posteriores a la celebración alteren o agraven la prestación de futuro cumplimiento a cargo de una de las partes, en grado tal que le resulte excesivamente onerosa.
En materia civil, puede considerarse la figura a partir de los artículos 2060 y 1932 in fine del Código Civil
Requisitos de la imprevisión
- La exigencia un de un contrato bilateral, cuyas prestaciones se cumplan de manera sucesiva o por períodos de causación.
- Las prestaciones están en plena ejecución, lo que implica que el contrato está vigente.
- Que la circunstancias extraordinarias e imprevistas ocurran en dicha ejecución
- Debe tratarse de hechos extraordinarios imprevisibles, que el deudor no haya podido preverlas con mediana inteligencia.
- La afectación del contrato debe se grave, que impida su cumplimiento
- Pero el incumplimiento debe generar una excesiva onerosidad
- Lo excesivamente oneroso es lo que grava o afecta el contrato.
Efectos cuando se encuentran demostrados los requisitos
Demostrada los hechos extraordinarios que cunden el contrato y hace excesivamente oneroso su cumplimiento, se reclama por la cuerda del proceso declarativo verbal. De mayor, menor o mínima cuantía (CGP art. 368 a 370; art. 390).
Si se prueban las circunstancias que hayan alterado las bases del contrato, se ordenará los reajustes que la equidad indique. En algunos casos da lugar a decretar la terminación del contrato. Siempre que la decisión no contribuya a un enriquecimiento sin causa a favor del deudor y una lesión patrimonial del acreedor.
¿Es posible la revisión de los contratos por razón de COVID 19?
Son muchos los contratos bilaterales de ejecución periódica y sucesiva que se han visto afectado por la pandemia del COVID 19. Es un hecho imprevisto y notorio que está eximido de prueba (CGP. art. 167). Sus efectos avasalladores pusieron en jaque la economía mundial, de ello no hay absoluta reserva. Cada Estado, con aciertos y desaciertos, adoptaron medidas para aliviar las alteraciones económicas al interior de la empresa y del núcleo familiar. Por virtud de las cuales los bancos suspendieron temporalmente el cobro de cuotas, los arrendadores debieron congelar arriendos, entre otras medidas sugeridas o tomadas por los gobiernos.
Pero la pregunta que nos hacemos es: ¿si el hecho repentino de la pandemia COVID 19, consulta los requisitos de la teoría de la imprevisión? Veamos:
- La pandemia afectó contratos de orden bilateral de cumplimiento sucesivo y periódico. Si duda.
- Muchos de dichos contratos están vigentes. Así es.
- No hay duda de las circunstancias extraordinarias. Las cuales no pudo preverlas los yuxtapuestos en la materia de salud, mucho menos un deudor ordinario.
- La afectación de los contratos es grave, que impide su cumplimiento. Tan así que, por ejemplo, las entidades financieras adoptaron un alivio temporal suspendiendo el pago de cuotas.
- El incumpliendo genera excesiva onerosidad. Este es uno de los puntos materia de discusión.
La calificación de excesiva onerosidad
Se parte del supuesto que todo contrato donde se causan intereses moratorios es oneroso. Si no se paga a tiempo el interés moratorio hace cada día más gravosa la obligación. El asunto es la calificación de excesiva.
El vocablo excesivo debe mirarse objetivamente a partir del hecho imprevisto y no como el resultado de mismo
En este evento basta, con fundamento en las reglas de la experiencia o sana crítica, desentrañar la entidad de la onerosidad (CGP. art. 176). Objetivamente, se puede palpar que el haberse presentado un elemento extraño per se hace oneroso el contrato. Sin perder de vista que lo que está en discusión es la gravosidad del contrato y no el patrimonio del deudor.
Si no se mira la onerosidad del contrato, caemos en la subjetividad del juez, quien apreciará, entonces, la onerosidad con la capacidad económica del deudor. Incluso, su estrato socioeconómico y no se que otra circunstancia, que contraviene el sentido natural y obvio de apreciación probatoria.
Caso concreto de onerosidad objetividad
La jurisprudencia constitucional** sostuvo que una persona con incapacidad laboral por encima de un 50%, es un hecho que consulta la teoría de la imprevisión. Como consecuencia de ese hecho ordenó, por vía de tutela, la revisión de un contrato de mutuo. Así se pronunció:
Las obligaciones inicialmente consideradas en la celebración de un negocio jurídico subsisten mientras las circunstancias originales no hubieren sufrido un cambio o modificación fundamental.
Explicó que cuando sobrevengan imprevisibles y graves alteraciones de la normalidad económica, se puede acudir a la teoría de la imprevisión. Que se fundamenta en el principio rebus sic stantibus y pretende la revisión de un contrato para ajustarlo a la nueva realidad social, económica y jurídica.
Por tal razón, el alto tribunal amparó los derechos a la vida digna y al mínimo vital de una mujer que adquirió una deuda con su empleador, el Instituto de Seguros Sociales (ISS). La obligación tubo origen en un contrato de mutuo para préstamo de vivienda. Pero dos años después fue calificada con una incapacidad superior al 50 % y aun así el ISS inició el cobro coactivo. La Sala reiteró que la tutelante es sujeto de especial protección. Y que la normativa especial vigente dispone expresamente el procedimiento para los pensionados beneficiarios de préstamos de vivienda. Por lo que se debe evaluar una reestructuración del crédito adeudado, con su respectiva ampliación del plazo para su cancelación
En este caso la Corte tiene en cuenta un hecho objetivo; la incapacidad superior al 50%. Lo que, de suyo, infiere la onerosidad de la obligación y presume así mismos la capacidad de pago.
Colofón
Como estos hechos objetivos, son muchos los que tienen origen por razón del COVID 19. De tal suerte que sus efectos nefastos resulten suficientes para estimar que las obligaciones también se afectan y a partir de la pandemia todas las obligaciones son excesivamente onerosas.
