uede definirse como la convención por la cual los contratantes se obligan a celebrar otro contrato. El cual debe perfeccionarse dentro de cierto plazo o al evento de una condición. La promesa es un antecedente del contrato prometido, de ahí que no deba confundirse con el contrato en sí, que se obligan realizar.
Debe contener los elementos esenciales del contrato prometido
El objeto de la promesa de contrato es la conclusión del otro posterior. De ahí que se exija que contenga todos los elementos del contrato definitivo. Razón por la cual se le ha considerado como un instrumento preparatorio de un negocio jurídico diferente. En tanto su vida es transitoria o temporal, característica que lo hace diferente del definitivo, lo contrario implicaría consentir que el objeto no sería el de realizar un negocio jurídico.
La Ley 153 de 1887, en el artículo 89, regula los requisitos del contrato de promesa. Dentro de los cuales, para su validez, se destaca el de la regla 4ª, según la cual elige que contenga los elementos del contrato definitivo.
Efecto inmediato del contrato de promesa
De tal suerte que el efecto inmediato de la promesa no es otro que poder exigir la celebración de lo que se promete, un contrato. Celebrado el contrato prometido desaparece la promesa, termina su misión. De tal suerte que si el contrato de promesa es mercantil puede perfeccionarse con el solo consentimiento. Cuando ello ocurre, entonces, el contrato definitivo sigue la misma regla de consensualidad, a amenos que las partes acuerden lo contrario.
Sobre el particular la jurisprudencia* , dijo:
“De ahí que no resulta exigible a las partes, al celebrar un contrato consensual, que rehagan o reproduzcan lo pactado previamente en la promesa, no solo porque sería una restricción infructuosa (circuitus innutilis) sino porque la propia ley no la consagra y, por el contrario, deja a los contrayentes en entera libertad de acogerse a la voluntad expresada con anterioridad en la promesa o en cualquier otro acto”.
