La acción cambiaria y el derecho de acción
El derecho de acción es la facultad que tiene toda persona para ejercitar esa clase de derechos subjetivos, y consiste en la promoción de la pretensión, como mecanismo legal previsto en la legislación adjetiva como método instrumental de procedimiento
Titular de la acción cambiaria
En materia de títulos valores el derecho de acción está en cabeza del tenedor legítimo (C. de Co., art. 647), de aquella persona que ha obtenido el instrumento conforme a la ley de circulación: por los cauces legales y de buena fe.
Esa facultad se denomina, según el artículo 780 del Código de Comercio, como el ejercicio de la acción cambiaria.
Ejercicio de la acción cambiaria
Son tres las razones sustanciales que establece la ley mercantil, por las cuales tiene lugar el ejercicio de la acción cambiaria.
- Cuando el girado o el aceptante se hallen en curso de un proceso de insolvencia económica (Ley 1116 de 2006), o en cualquier otra situación semejante
- Por falta de pago o de pago parcial; y,
- Por falta de aceptación o de aceptación parcial
Facultades que tiene el tenedor del título valor
A través de la acción cambiaria el tenedor legítimo pone en funcionamiento la jurisdicción y hace efectivo el derecho incorporado en el título-valor contra todos los obligados a la vez o contra alguno o algunos de ellos, sin perder en este caso la acción contra los demás y sin la necesidad de seguir el orden de las firmas en el título. (C. de Co., art. 785).
Esa prerrogativa es posible, por razón del principio de autonomía activa, sin consideración a la posición cambiaria que ocupen los obligados en el instrumento.
Acción cambiaria directa
Si se trata de aceptante de una orden o el otorgante de una promesa cambiaria o de sus avalistas, la acción cambiaria es directa. Así mismo, si el girador crea la letra de cambio a su cargo, la acción es directa porque, conforme con el artículo 676 del Código de Comercio, queda “obligado como aceptante.
Acción cambiaria de regreso
La acción es de regreso cuando se promueve contra los demás obligados o suscriptores del título: endosantes; avalista de endosantes o de giradores de la letra de cambio.
En resumen
En suma, la posición cambiaria que ocupan los obligados de un título valor da lugar a la clase de acción que debe ejercitar el tenedor legítimo. La acción es directa contra los obligados directos y de regreso si los obligados son de regreso.
