Naturaleza jurídica de la sociedad -Extracto[1]
Las sociedades, una vez constituidas regularmente, son personas jurídicas, revestidas de los atributos: de nombre, capacidad, patrimonio y nacionalidad. Lo que les permite actuar directamente con el fin de desarrollar su objeto social[2] y generar réditos, destinados al cumplimiento de éste y, de ser procedente, a compensar el compromiso patrimonial de los asociados.
Así lo establece el artículo 98 del estatuto comercial, a saber: «La sociedad, una vez constituida legalmente, forma una persona jurídica distinta de los socios individualmente considerados». En el mismo sentido el canon 2° de la ley 1258 de 2008 dispone: «La sociedad por acciones simplificada, una vez inscrita en el Registro Mercantil, formará una persona jurídica distinta de sus accionistas».
Sobre el primero de los mandatos, la Sala doctrinó:
[L]a sociedad una vez constituida legalmente forma una persona jurídica diferente de los socios individualmente considerados, como así lo establece claramente el artículo 98 del Código de Comercio, norma de la cual se deduce que (…) .Ella, la sociedad como sujeto de derechos diverso de los socios, tiene como atributo de su personalidad, un patrimonio propio, diferente del de aquellos. Conformado al momento de su constitución por los aportes que ellos le hacen y con los cuales se integra el capital inicial, del que parte la sociedad para iniciar las operaciones y actos a que fue destinada y en cuyo devenir adquiere bienes y derechos y contrae obligaciones. Formándose así un activo que como contrapartida, y en aplicación sencilla de la clásica ecuación contable, equivale al pasivo externo de la sociedad: deudas adquiridas con terceros- más el ‘patrimonio social’ -deuda adquirida con los socios- conformado éste por el capital inicial y sus acrecimientos, con las reservas y utilidades no distribuidas, así como con otros bienes tangibles o intangibles (Cas. Civ., sentencia del 19 de abril de 2002, expediente No. 6885)… (SC, 30 nov. 2011, rad. n.° 2000-00229-01).
La personificación de la persona jurídica
Ha dicho la jurisprudencia que la misma “tiene por finalidad preponderante la de reducir la pluralidad de los socios a una sola persona, o sea constituyéndola como un sujeto de derecho, aspecto en el cual la equipara a la persona humana…”. En este orden “la sociedad contrae obligaciones y ejerce derechos propios, que sus bienes no pertenecen en comunidad a los socios sino a ella misma y que las obligaciones de los socios no son sus obligaciones”. Las sociedades son entes de voluntad propia
Las sociedades, desde este punto de vista, son entes con voluntad propia, la cual debe auscultarse en las estipulaciones estatutarias. Aunque se concreta en las decisiones adoptadas por sus órganos, siempre dentro del contexto de la empresa o actividad que constituye su objeto social. El cual, por fuerza del artículo 99 del Código de Comercio, delimita su capacidad.
Dicho de otra forma, es un ser que obra por sí mismo, a través de sus órganos, por lo que los hechos y actos jurídicos de éstos, acaecidos dentro del ámbito de sus funciones, “se tendrán como hechos y actos de la persona jurídica misma, pues los órganos no son sino parte de ella”.*
Nacimiento de la capacidad
Remárquese, tan pronto se otorga la escritura pública de constitución y se inscribe en el registro mercantil, se entiende que la persona jurídica adquiere “plena capacidad para adquirir derecho. Así como para contraer obligaciones, al paso que forma un patrimonio autónomo compuesto por los activos y los pasivos que a ella pertenecen, todo ello en función del desarrollo de su objeto social”[3]
No se trata de una mera ficción, como lo señala genéricamente el artículo 633 del Código Civil. Fruto de una visión histórica superada, en el sentido de que la sociedad es una mera invención para atribuir voluntad humana a algo que carece de ella. Por el contrario, es un ente, con una voluntad particular, la cual emana genéricamente del acto de constitución y se concreta con cada una de las decisiones adoptadas por sus órganos. Las cuales deben propender por la materialización de los fines colectivos.
En el contexto descrito la personalidad jurídica no se agota con la «separación del patrimonio de la sociedad y de los accionistas.Con la finalidad de “permitir el flujo de capital, la inversión y la estimulación del desarrollo empresarial del país”[4]. Sino
