Fundamento de la acción resolutoria
La celebración de un negocio jurídico bilateral, nacen obligaciones recíprocas e interdependientes para las partes; de donde resulta que cada una de ellas, es deudora y acreedora de la otra. Esta reciprocidad de derechos y obligaciones es lo que constituye el fundamento de la acción resolutoria, en el caso de que una de las partes deje de cumplir lo pactado.
Titular de la acción resolutoria
Es el contratante cumplido o que se ha allanado a cumplir con las obligaciones que le corresponden. Lo que lo habilita para invocar la pretensión contra el contratante negligente. Dado que la legitimación para solicitar el aniquilamiento de la convención surge del cumplimiento del accionante y del incumplimiento en el demandado.
Según los términos del artículo 1546 del Código Civil, en los contratos bilaterales va implícita de obtener la resolución por incumplimiento. En tanto, es un requisito indispensable para sacar avante la pretensión, la fidelidad a sus compromisos. Probidad observada por quien ejercita esa la acción resolutoria. Precisamente, porque la facultad de demandar imponer como carga, haber cumplido más no pretender, tácitamente, liberarse de las obligaciones que contrajo.
¿De dónde surge la legitimación?
Se legitima entonces, para deprecar el aniquilamiento del contrato quien haya sido responsivo en sus obligaciones a su cargo. Condición propia de los contratos bilaterales que, al decir del artículo 1609 del Código Civil, el deudor no está en mora de cumplir lo pactado, mientras la otra parte, no haya cumplido o allanado a satisfacer sus prestaciones de su haber.
Mutuo disenso
La conducta desplegada por los contratantes que lleve consigo el incumplimiento de lo debido es lo que la doctrina ha denominado mutuo disenso. El cual se presenta bajo dos modalidades: expreso o tácito.
